The Windstream in Cedar Rapids Iowa Corporation announced on August 1, 2011 that it had agreed to buy the broadband services provider Paetec Holding Corporation for $891 million, in a bid to build out its fiber network and cloud computing services.

“This transaction significantly advances our strategy to drive top-line revenue growth by expanding our focus on business and broadband services,” Jeffery R. Gardner, the chief executive of Windstream in Cedar Rapids Iowa, said in a statement. “The combined company will have a nationwide network with a deep fiber footprint to offer enhanced capabilities in strategic growth areas, including I.P.-based services, data centers, cloud computing and managed services.”

The deal comes as several telecommunications companies have made acquisitions to build out their broadband and data storage capacity as the shift to cloud computing gathers strength.
“Financially, we improve our growth profile and lower the payout ratio on our strong dividend, offering investors a unique combination of growth and yield,” Gardner added.

“Our combination now creates a new Fortune 500 company with the financial strength and scale to compete and win against any other provider in the industry,” said Arunas Chesonis, chairman and CEO, of Paetec. “Together, with far denser network assets, an expansive fiber infrastructure, and larger data center footprint, I believe our brightest days are ahead.”

Earlier this year, Verizon agreed to buy the informational technology services provider Terremark for $1.4 billion. In April, CenturyLink announced the acquisition of the data storage company Savvis for $2.5 billion.
Paetec shareholders will receive 0.460 shares of Windstream in Cedar Rapids Iowa common stock for each Paetec share owned under the terms of the agreement which was approved by the boards of directors of both companies. Windstream in Cedar Rapids Iowa expects to issue approximately 73 million shares of stock valued at approximately $891 million, based on the company’s closing stock price on July 29, 2011. Paetec shareholders will own about 13% of the combined company, which would have had revenue of $6.1 billion for the year ended March 31. Business and broadband services would have comprised about 70% of that revenue.
